Terms of Service for Genfit

3.1 Web Application

You are granted a limited, non-exclusive right to access and use our web application in accordance with these Terms.

3.2 iOS Application

When using our iOS application, you are granted a non-transferable license to use the application on any Apple-branded products that you own or control and as permitted by the App Store Usage Rules. iOS-specific restrictions include:

• No distribution over a network
• No transfer, redistribution, or sublicensing
• No reverse engineering or modification
• Removal required before selling your device

4.1 Age Requirement

Users must be at least 13 years of age to use the Service. Users under 18 should review these Terms with a parent or guardian.

4.2 Account Information

You are responsible for:

• Maintaining the confidentiality of your account information
• All activities under your account
• Ensuring your account information is accurate and up-to-date
• Using a strong, unique password
• Logging out from shared devices

6.1 Not Medical Advice

The Service provides general fitness, exercise, nutrition, and wellness information only. It is not medical advice and is not a substitute for professional medical advice, diagnosis, treatment, dietary counseling, or emergency care. Always consult a qualified physician, dietitian, or other licensed professional before beginning an exercise program, changing your diet, or acting on any nutrition or macro recommendation.

6.2 User Responsibility

You acknowledge that:

• Exercise carries inherent risks
• Dietary changes and nutrition recommendations may not be appropriate for every individual
• You are solely responsible for your safety during workouts
• You are solely responsible for evaluating whether nutrition, macro, meal, or AI-generated guidance is appropriate for you
• You should stop exercising if you experience pain or discomfort
• You should seek medical clearance if you have any health concerns
• AI-generated outputs may be incomplete, inaccurate, or unsuitable for your circumstances

7.1 Technical Data

We collect and use technical data and related information across all platforms, including:

• Device information
• System and application software details
• Usage statistics and analytics
• Performance metrics

This information helps us provide updates, support, and service improvements.

7.2 User Content

You retain ownership of the content you submit to the Service. By submitting workout data, nutrition data, meal descriptions, meal photos, chat inputs, feedback, or other content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and use that content as necessary to operate, maintain, secure, support, and improve the Service and its features, including AI-assisted features.

At this time, we do not use meal photos or nutrition chats to train our own models. We may in the future use de-identified, aggregated, or otherwise permitted data to improve our Service or AI systems. If we materially expand how user content is used for model training or improvement, we will update our policies and provide any notice required by applicable law.

9.1 Free and Premium Features

The Service offers both free and premium features:

• Free Features: The website's exercise reference and workout generator are available to everyone at no cost and without an account. Workout logging, workout history and basic fitness tracking are available to all registered users at no cost.
• Premium Features: Food logging, nutrition tracking, macro goal setting, and AI-powered meal analysis require an active paid subscription.

9.2 Subscription Pricing

Current subscription pricing for premium features is $3.99 per month, though we reserve the right to modify pricing or introduce additional subscription tiers with notice to users.

9.3 Platform-Specific Payment Processing

• iOS: Payments are processed through Apple's in-app purchase system
• Web: Payments are processed through our authorized payment processors, including Stripe where applicable
• We may use service providers such as RevenueCat to manage subscriptions and entitlements across supported platforms

9.4 Free Trial

New users may be eligible for a free trial period for premium features. The duration of any free trial period will be specified at the time of sign-up. After the trial period ends, your subscription will automatically begin unless cancelled before the trial expiration.

9.5 Billing and Auto-Renewal

• Subscriptions automatically renew for the same term unless cancelled before the renewal date
• Payment will be charged to your payment method at confirmation of purchase
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• You authorize us to charge your chosen payment method for the subscription term selected
• Account holders are responsible for all charges incurred under their account

9.6 Cancellation and Refunds

• iOS users: Manage subscriptions through Apple's subscription settings
• Web users: Manage subscriptions through your account settings
• Cancellation will take effect at the end of your current billing period
• No refunds for partial subscription periods
• You maintain access to premium features until the end of your current billing period
• Free features remain accessible after subscription cancellation

12.1 Agreement to Arbitrate

By agreeing to these Terms, you and Genfit agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service will be resolved exclusively through binding arbitration, rather than in court, except that:

• You may assert claims in small claims court if your claims qualify
• Either party may seek injunctive relief to stop unauthorized use or abuse of the Service
• Either party may participate in class action litigation if a court specifically invalidates this arbitration agreement

12.2 Arbitration Rules

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration may be conducted in person, through document submission, by phone, or online. The arbitrator will issue a written decision explaining the essential findings and conclusions.

12.3 Arbitration Location and Fees

Unless we agree otherwise, any in-person arbitration hearings will be held in Wyoming. The payment of filing, administration, and arbitrator fees will be governed by the AAA's rules.

12.4 Class Action Waiver

YOU AND GENFIT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.5 30-Day Opt-Out Period

You have the right to opt-out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@genfit.fit with your name and a clear statement that you wish to opt out of the arbitration agreement.

13.1 United States Users

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.

13.2 European Users

For users who are citizens of European Union countries, Switzerland, Norway, or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.

13.3 Other Jurisdictions

Users from other jurisdictions agree to the application of Wyoming law to the maximum extent permitted by their local laws.

14.1 iOS Requirements

• Export restrictions per United States law apply
• U.S. Government end users have restricted rights
• Apple's Standard EULA terms apply
